Governance Structure

Board of Directors

The Foundation’s Board of Directors is composed of seven members, each representing one of the Mozambique LNG Project concessionaires. It defines the Foundation’s strategic direction, approves annual plans and budgets, and ensures that all activities align with its mission and legal obligations. The Board oversees the management of assets and resources, monitors performance, and represents the Foundation before partners and institutions. Through collective decision-making, it safeguards transparency, accountability, and the long-term vision of the Foundation.

Advisory Board

The Advisory Board is a consultative body created by the Board of Directors to provide strategic guidance and expert insight on the Foundation’s programs, partnerships, and long-term priorities. Composed of individuals  with recognized experience in development, public policy, and private-sector engagement, it offers independent perspectives meant to strengthen the quality, relevance, and accountability of the Foundation’s work by advising on emerging opportunities, risks, and best practices.

Alda Salomão

Environmental lawyer, land rights specialist and social activist.

She served as Director-General of Centro Terra Viva (CTV), a Mozambican environmental research and advocacy NGO, from 2002 to 2015, and is currently its founder and legal adviser. She holds a PhD in Human Geography and Spatial Planning from Utrecht University.

Nurmomade Abdulcarimo

Long-established entrepreneur and a leading figure in Cabo Delgado's private sector.

Beyond his business activities, he is actively engaged in social and community initiatives, mobilizing other private sector representatives in support of local communities. He brings to the advisory board a deep knowledge of the languages and culture of the region.

Enilde Sarmento

Economist and community development specialist with over 15 years of experience in public policy, socioeconomic analysis and inclusive growth.

She previously served as National Director of Economic Policy and Development at Mozambique's Ministry of Planning and Development. She has led consultancy work for major organizations, specializing in socioeconomic assessments, feasibility studies and participatory development. She currently serves as Senior Economist at the International Monetary Fund, in Washington.

Jorge Ferrão

Socio-environmental researcher. He serves on the Boards of BioFund and the Foundation for Community Development (FDC).

He has held the positions of Minister of Education and Human Development of Mozambique, Rector of Lúrio University - the country's third-largest public university - and is currently the Rector of Pedagogical University, Mozambique's largest public university, with a presence in every province.

Gita Honwana Welch

With over 20 years of experience in international development, she has extensive practical expertise in the restoration of judicial systems in post-conflict settings, both in her native Mozambique and in Timor-Leste, where she served as Minister of Justice during the United Nations transitional administration.

She was Director of the United Nations Development Programme (UNDP) Regional Service Centre for West and Central Africa in Dakar, UNDP Country Director in Angola, and Director of the UNDP Democratic Governance Group in New York.

Paulo Gomes

Former Regional Director for Africa, Deputy Executive Director and later Executive Director of the World Bank.

He serves on the Boards of the African Development Bank, Ecobank, Asky Airlines and AFIG Investment Fund. He is a member of the Green Fund and co-founder of the Africa–Southeast Asia Chamber of Commerce, based in Singapore.

Tomaz Vieira Mário

Journalist by profession, activist and respected opinion leader.

He is the founder of SEKELEKANI - Centre for Communication Studies and Research, an independent institution dedicated to amplifying the voices of the most vulnerable. He served as a member of Mozambique's Higher Council for Social Communication.

Advisory Board Charter

Supervisory Body

By Mozambican law, in addition to a Board of Directors, the governance of all foundations includes the setup of a Supervisory body expected to fulfill the fiscal function.

The Supervisory body is responsible for overseeing compliance with the law and the articles of association, namely:

a) monitor and verify the regularity of the books and accounting records, the documents that support them, as well as the accuracy of the Foundation’s annual accounts;

b) issue an opinion on the report, accounts and budget and on all matters that the Board of Directors submits to its appreciation;

c) prepare and present an annual report on its supervisory activities;

d) propose to the Board of Directors the performance of external audits, when this proves to be necessary or convenient;

e) pronounce on matters submitted to it by the Board of Directors; and

f) exercise the other powers provided for by law and in these articles of association.

For the exercise of its powers, the Supervisory Body is entitled to:

a) take the initiative and carry out the inspection and verification of acts that it deems convenient for the full exercise of its functions;

b) freely access all services and documentation of the Foundation, being able to request the clarifications that it deems necessary; and

c) take or propose other measures it deems indispensable.

Executive Committee

The Executive Team is responsible for the day-to-day management of the Foundation, ensuring that the strategic decisions of the Board of Directors are translated into effective programs, partnerships, and operational delivery. Led by the Chair of the Executive Committee, the team oversees project implementation, financial execution, stakeholder engagement, and internal coordination, guaranteeing that activities are carried out with professionalism, transparency, and alignment with the Foundation’s mission and values. As the operational backbone of the institution, the Executive Team ensures continuity, efficiency, and disciplined execution across all areas of work.
